1. Acceptance of These Terms
By accessing this website, requesting a quotation, approving a proposal, placing an order, or using any service provided by Targetup LLC., you agree to these Terms of Service. If you do not agree, you should not use the website or our services.
2. About Targetup LLC.
Targetup LLC. provides digital marketing, social media management, branding, website design and development, web hosting, domain registration, website management, and related digital services.
3. Proposals, Quotations, and Scope of Work
The scope, deliverables, timeline, fees, payment schedule, and specific service conditions for each project will be described in a quotation, proposal, contract, invoice, or written confirmation issued by Targetup LLC.
Any service, feature, revision, integration, content item, or deliverable not expressly included in the approved scope may be treated as additional work and may require a separate quotation, fee, and delivery timeline.
4. Client Responsibilities
- Provide accurate requirements, feedback, approvals, and contact details.
- Supply text, images, trademarks, credentials, and required materials on time.
- Ensure supplied materials do not infringe third-party rights or applicable law.
- Review deliverables and report required corrections within the agreed review period.
- Protect account credentials and access information.
- Pay approved fees, renewals, taxes, and third-party charges when due.
5. Fees and Payment
Fees are payable according to the payment schedule stated in the relevant quotation, proposal, invoice, or agreement. Unless otherwise stated, work may begin only after receipt of the required advance payment.
Targetup LLC. may suspend work, hosting, support, access, or delivery where an invoice remains overdue. The client remains responsible for approved work already completed and any non-refundable third-party costs incurred on the client’s behalf.
6. Revisions and Approvals
Included revisions are limited to the number or scope stated in the approved quotation or agreement. Additional revisions, changes after approval, or changes to previously completed work may be billed separately.
7. Project Timelines
Delivery dates are estimates unless expressly confirmed as fixed deadlines in writing. Timelines may be extended by delays in content, feedback, approvals, payments, third-party services, technical access, or client decisions.
8. Website Design and Development
Websites are developed for the browsers, devices, and technical requirements included in the project scope. Minor differences may occur across browsers, operating systems, screen sizes, and future software versions.
Unless maintenance is included, the client is responsible for updates, backups, licences, security, and ongoing administration after handover.
9. Hosting Services
Hosting services may depend on third-party infrastructure. Targetup LLC. will use reasonable efforts to maintain reliable service, but uninterrupted or error-free availability cannot be guaranteed.
The client must not use hosting for unlawful content, spam, abuse, malware, unauthorised access, intellectual property infringement, or activities that may damage systems, networks, reputation, or service availability.
10. Domain Registration and Renewal
Domain names are subject to registrar rules, availability, renewal deadlines, and registry policies. Registration is not guaranteed until confirmed by the registrar.
The client is responsible for approving domain details and paying renewal fees before expiry. Targetup LLC. is not responsible for domain loss caused by late payment, inaccurate ownership information, registrar action, transfer delay, or circumstances outside our reasonable control.
11. Third-Party Services and Licences
Projects may use third-party platforms, plugins, software, APIs, fonts, stock materials, payment gateways, hosting services, or other external products. Their use is subject to each provider’s terms, pricing, licences, availability, and technical limitations.
12. Marketing and Advertising Services
Marketing results may vary according to the market, competition, budget, audience, offer, platform policies, client response, and other factors. Targetup LLC. does not guarantee a specific number of leads, sales, followers, rankings, impressions, or financial results unless expressly agreed in writing.
Advertising budgets, media spend, influencer fees, production costs, and platform charges are separate from management fees unless the approved quotation states otherwise.
13. Intellectual Property
The client retains ownership of materials supplied by the client. Targetup LLC. retains ownership of its pre-existing tools, frameworks, templates, methods, know-how, reusable components, and internal working materials.
Ownership or usage rights for final approved deliverables transfer only after full payment of all related invoices, subject to third-party licences and any different terms stated in the project agreement.
14. Portfolio and Promotional Use
Unless confidentiality has been agreed in writing, Targetup LLC. may display completed public-facing work, the client’s name, logo, website, and project description in portfolios, presentations, proposals, and promotional materials.
15. Confidentiality
Each party should protect non-public business, technical, financial, account, and project information received from the other party and use it only for the project or service relationship, except where disclosure is required by law.
16. Backups and Data
Where backup services are included, Targetup LLC. will use reasonable efforts to maintain backups according to the applicable service plan. Backups are not guaranteed to be complete, current, or restorable in every situation.
Clients should maintain independent copies of important website content, files, databases, emails, credentials, and business records.
17. Suspension and Termination
Either party may terminate a service according to the relevant quotation, agreement, or written notice terms. Targetup LLC. may suspend or terminate services immediately due to non-payment, abuse, security threats, illegal activity, material breach, or third-party provider requirements.
18. Refunds
Fees for completed work, approved stages, activated services, domain registrations, licences, hosting periods, advertising spend, and third-party purchases are generally non-refundable unless otherwise stated in writing.
19. Warranties and Disclaimers
Services are provided with reasonable professional care. Except where expressly agreed in writing or required by law, no other warranties are given, including warranties of uninterrupted availability, specific commercial results, compatibility with future third-party changes, or suitability for an unstated purpose.
20. Limitation of Liability
To the maximum extent permitted by applicable law, Targetup LLC. will not be liable for indirect, incidental, special, consequential, or punitive loss, including loss of profits, revenue, data, opportunity, reputation, or business interruption.
Where liability cannot be excluded, total liability relating to a specific service will not exceed the amount paid to Targetup LLC. for that service during the period giving rise to the claim, unless applicable law requires otherwise.
21. Indemnity
The client agrees to be responsible for claims, losses, or costs resulting from client-supplied materials, unlawful instructions, misuse of services, infringement of third-party rights, or breach of these terms.
22. Privacy
Personal information is handled according to our Privacy Policy, which forms part of these terms.
23. Changes to These Terms
Targetup LLC. may update these Terms of Service from time to time. The latest version will be published on this page with the updated revision date.
24. Conflicts with Project Documents
If these website terms conflict with a signed contract, approved proposal, or service-specific agreement, the signed or service-specific document will control for that project or service.
